The Complaint alleges that Nvidia and certain officers and directors violated Sections 10(b) and 20(a) of the Securities Exchange Act of 1934 by making false and misleading statements and omissions concerning the undisclosed fact that Nvidia's graphic cards, which have been distributed by the Company, were defective and that the defect would have a material negative impact on the Company's financial condition, financial statements and future business prospects. Moreover, by failing to make the required adjustments to the Company's reported financial results, Defendants underestimated Nvidia's expenses and overstated the Company's revenue and income. Thus, the Company's financial statements, including its Form 10-K filings, for the period from November 8, 2007 to July 2, 2008 were materially false and misleading.
